Provider Agreement

This Provider Agreement ("Agreement") governs your participation as a service provider on the NeighborhoodPro™ Platform. By completing registration, you agree to all terms herein. Please read carefully before signing up.

1. Independent Contractor Status

You are engaging with NeighborhoodPro as an independent contractor, not as an employee, agent, partner, or joint venturer. This Agreement does not create an employment relationship.

As an independent contractor:

  • You control the manner and means of your work
  • You set your own schedule and accept or decline job offers at your discretion
  • You are responsible for your own taxes (NeighborhoodPro will issue a 1099 if applicable)
  • You are not entitled to employee benefits (health insurance, workers' comp, PTO)
  • You provide your own tools, equipment, and transportation
  • You may work for other platforms or clients simultaneously

NeighborhoodPro does not withhold income taxes, Social Security, or Medicare from your payments. You are solely responsible for all tax obligations arising from your Platform earnings.

2. Revenue Split Disclosure

NeighborhoodPro operates on a transparent revenue split model:

Per-Job Revenue Distribution

Provider Earnings 69% of gross job amount
NeighborhoodPro Platform Fee 31% of gross job amount
Gross Job Amount 100% (customer payment)

Example: A $200 job → You receive $138.00. NeighborhoodPro retains $62.00.

This split applies to all job types and service categories. NeighborhoodPro reserves the right to modify the platform fee with 30 days' written notice to active Providers.

3. Free Signup for Life

Provider registration on NeighborhoodPro is and will always be free. There are no:

  • Signup fees
  • Monthly subscription fees for Providers
  • Lead purchase fees
  • Profile listing fees

The Platform fee (31%) is the only cost of participation and is deducted from job payments — you never pay out of pocket. This free signup commitment is a core founding principle of NeighborhoodPro and is binding on the Company.

4. Background Check Consent

By registering as a Provider, you expressly consent to:

  • A criminal background check (national and county-level)
  • Sex offender registry check
  • Identity verification against government records
  • Driver's license verification (for services requiring driving)
  • Periodic re-verification as required by NeighborhoodPro

Background checks are conducted by licensed third-party consumer reporting agencies in compliance with the Fair Credit Reporting Act (FCRA). You have the right to dispute inaccurate information in your background check report.

NeighborhoodPro may deny or terminate your account based on background check results. We will notify you of any adverse action and provide the required FCRA notices.

5. Licensing & Insurance Requirements

You represent and warrant that, for all services you offer on the Platform:

  • You hold all required state and local licenses and permits
  • You maintain general liability insurance with a minimum coverage of $500,000 per occurrence (or as required by your state)
  • Your licensing and insurance are current, valid, and in good standing
  • You will promptly notify NeighborhoodPro of any license suspension, expiration, or insurance lapse

Failure to maintain required licensing or insurance may result in immediate account suspension.

6. Job Acceptance & Performance

When you accept a job through the Platform:

  • You commit to performing the service at the agreed time and location
  • You must notify the Customer and NeighborhoodPro at least 2 hours before scheduled start if you need to cancel
  • You will perform the service in a professional, workmanlike manner
  • You will use the Platform's job management tools to update job status in real time
  • You will not solicit direct (off-platform) payment from Customers

Excessive cancellations (more than 3 in any 30-day period) may result in account penalties or suspension.

7. GPS & Location Tracking

During active jobs, your device's GPS location is shared with the assigned Customer in real time. By accepting jobs through the Platform, you consent to this location sharing for the duration of each active job.

Location data is retained for 90 days and may be reviewed in dispute resolution proceedings. You may disable background GPS tracking when not on an active job through your device or account settings.

8. Payment & Disbursement

  • Earnings are calculated based on the final confirmed job amount (post-adjustments)
  • Disbursements are processed weekly via ACH transfer
  • Instant payout options (same-day, for a processing fee) may be available
  • Minimum payout threshold: $25.00
  • You must maintain a valid U.S. bank account or payment method on file
  • NeighborhoodPro may withhold payment pending dispute resolution

NeighborhoodPro will issue an IRS Form 1099-NEC for Providers earning $600 or more in a calendar year.

9. Reviews & Ratings

Customers may rate and review completed jobs. You agree to:

  • Accept all honest, verified customer reviews (positive and negative)
  • Not attempt to manipulate, inflate, or remove legitimate reviews
  • Respond to reviews professionally

Providers with a sustained average rating below 3.5 stars may be subject to account review or removal.

10. Code of Conduct

As a Platform Provider, you agree to:

  • Treat all Customers with dignity and respect
  • Not discriminate against any Customer based on race, gender, religion, disability, national origin, or sexual orientation
  • Maintain a professional appearance and demeanor while on job sites
  • Not use or possess illegal substances while performing Platform jobs
  • Not engage in any abusive, threatening, or harassing behavior

Violations of this Code of Conduct may result in immediate account termination without pay for the offending job.

11. Non-Solicitation

During your participation on the Platform and for 12 months following termination, you agree not to:

  • Solicit Customers you first connected with through the Platform for off-platform business
  • Accept direct payment from Platform Customers for services that should be booked through the Platform

This restriction applies to recurring or repeat service arrangements established during Platform-facilitated jobs.

12. Termination

Either party may terminate this Agreement at any time with reasonable notice. NeighborhoodPro may immediately terminate for:

  • Background check disqualification
  • Fraudulent activity
  • Violation of the Code of Conduct
  • Licensing or insurance lapse
  • Sustained poor performance or customer ratings

Upon termination, you will receive payment for all completed, undisputed jobs. Termination does not waive any liability for jobs in progress or dispute.

13. Intellectual Property & Confidentiality

Platform Ownership. All NeighborhoodPro technology, software, algorithms, designs, pricing engines, dispatch systems, GPS tracking infrastructure, and proprietary workflows are the exclusive intellectual property of NeighborhoodPro, LLC. Nothing in this Agreement grants you any ownership rights or license to copy, replicate, reverse-engineer, or recreate any Platform feature, system, or technology.

Prohibited Conduct. You may not: (a) copy, scrape, or reverse-engineer any proprietary Platform feature including the dispatch algorithm, pricing engine, or GPS tracking system; (b) share, sell, or disclose Platform trade secrets or proprietary workflows to third parties; (c) build, fund, or assist in building a competing platform that replicates NeighborhoodPro's core technology or business model using information obtained from your participation on the Platform.

Content License Grant. By uploading content to the Platform — including job photos, before/after images, reviews, profile information, and any other materials — you grant NeighborhoodPro, LLC a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, publish, and distribute such content for purposes including Platform operations, quality verification, marketing, and advertising. You represent that you own or have the necessary rights to grant this license.

Confidentiality. You agree to keep confidential any non-public information about NeighborhoodPro's technology, pricing, or business operations that you learn through your use of the Platform.

14. Governing Law

This Agreement is governed by the laws of the State of Florida. Disputes will be resolved through arbitration per the Terms of Service.
